On February 13, 2026, Judge Jed S. Rakoff of the U.S. District Court for the Southern District of New York issued an opinion that anyone using AI tools should be aware of. The ruling is the first federal decision to directly address whether conversations with a public AI chatbot are protected by attorney-client privilege or the work product doctrine.
The court ruled that they are not.
The Case: United States v. Heppner
The facts are straightforward.
The defendant, a senior executive indicted for securities fraud, used Claude — Anthropic’s publicly available AI assistant — to analyze his legal situation. On his own initiative, without direction from his attorneys, he used the AI platform to outline defense strategies and develop legal arguments.
During a search of the defendant’s home, the FBI seized approximately 31 documents memorializing these AI conversations. The defendant moved to exclude the documents from evidence, arguing they were protected by attorney-client privilege and the work product doctrine.
Judge Rakoff rejected both arguments.
The Court’s Reasoning on Attorney-Client Privilege
The court found that communications with an AI chatbot are not protected by attorney-client privilege for several independent reasons:
AI is not an attorney. Claude cannot form an attorney-client relationship with a user. The court stated plainly: “Because Claude is not an attorney, that alone disposes of Heppner’s claim of privilege.” Communications between two non-attorneys about legal issues are not privileged, regardless of how sophisticated or accurate the exchange may be.
No reasonable expectation of confidentiality. Anthropic’s privacy policy — to which every user consents — provides that the company collects user inputs and AI outputs, uses that data for training purposes, and reserves the right to disclose it to third parties, including governmental authorities. Under those terms, the court found no basis for a reasonable expectation of confidentiality.
Inputting privileged information waives the privilege. The court held that feeding advice received from counsel into a public AI tool is functionally the same as disclosure to a third party — waiving the privilege over the underlying communication itself.
Privilege cannot be created after the fact. The defendant argued that because he eventually shared the AI outputs with his attorneys, the materials should be considered privileged. The court rejected this, holding that non-privileged communications do not become privileged simply by being shared with counsel after the fact.
The Court’s Reasoning on Work Product Doctrine
The court also rejected the defendant’s work product argument:
No counsel direction. Work product protection applies to materials prepared by or at the direction of counsel. The defendant generated the AI documents on his own initiative. Materials a party prepares independently — even if clearly made in anticipation of litigation — do not qualify for work product protection.
AI is not an attorney. The AI documents did not reflect the strategy and mental impressions of counsel because Claude is not counsel.
Affecting strategy is not the same as reflecting strategy. The court drew a distinction: the fact that the documents may have influenced defense counsel’s strategy was insufficient. The documents had to reflect legal counsel’s strategy at the time they were created. They did not.
What the Ruling Means in Practice
Several legal analyses have highlighted the practical implications of this decision:
Consumer AI platforms are not confidential channels. Anything typed into a consumer AI platform like ChatGPT, Claude, Gemini, or similar tools should be treated as if it could be discovered and used in legal proceedings. The privacy policies of these platforms generally reserve rights to collect, use, and potentially disclose user data.
This applies to attorneys and non-attorneys alike. While the defendant in this case was not an attorney, the court’s analysis on privilege waiver applies to anyone who inputs privileged material into a public AI tool. If an attorney pastes privileged information into a public chatbot, that act of sharing could constitute a waiver.
Enterprise AI tools present a different — but untested — question. Part of the court’s analysis relied on Anthropic’s specific consumer privacy policy. Enterprise AI platforms with negotiated confidentiality terms may present different considerations. However, this has not been tested in court, and a paid subscription or corporate license does not automatically resolve the confidentiality question.
AI-generated documents are discoverable. Documents memorializing AI conversations — whether saved chats, exported files, or notes — may be seized or subpoenaed and used in legal proceedings.
Expect AI usage questions in legal proceedings going forward. Legal commentators have noted that opposing parties and regulators may begin asking about AI usage during depositions, custodian interviews, regulatory investigations, and subpoena negotiations. Questions about whether AI tools were used to prepare documents, analyze legal exposure, or develop compliance strategies are a natural extension of this ruling.

This ruling arrives at a moment when AI adoption across businesses and professions is accelerating rapidly. Employees at companies of all sizes are using AI tools daily — for research, drafting, compliance questions, and analysis. The court’s reasoning, while tied to the specific facts of this case, rests on well-established legal doctrines that legal analysts expect other courts to apply similarly.
